Delivery Terms and Conditions (“Terms”) apply to delivery services facilitated through the TradeRun mobile application and related platforms (the “Platform”), operated by TradeRun Pty Ltd, ACN #659276525 (“we”, “us”, “our”).
By placing an order for delivery through the Platform, you (“Customer”, “you”) agree to these Terms.

- Our Role as Intermediary
1.1 Technology Platform Only
TradeRun operates a technology platform that facilitates connections between:
* Independent physical retailers (“Merchants”);
* Independent delivery providers (“Delivery Partners”); and
* End customers (“Customers”).
1.2 No Sale or Supply of Goods
We do not sell, supply, manufacture, store, prepare, or package goods listed on the Platform. All goods are supplied by Merchants under a separate contract between you and the Merchant.
1.3 No Employment Relationship
Delivery Partners are independent contractors and are not employees, agents, or representatives of TradeRun.

- Delivery Services
2.1 Nature of Service
Delivery services consist of collecting goods from a Merchant and delivering them to the address specified by the Customer at checkout.
2.2 Estimated Delivery Times
Any delivery times shown in the Platform are *estimates only*. Actual delivery times may vary due to factors including traffic, weather, store preparation delays, Delivery Partner availability, or other circumstances beyond our control.
2.3 Delivery of Air conditioning units
* Air conditioning units are excluded from TradeRun’s marketing and company delivery expectations of 2hours due to the nature of the product, including; weight, size and transportation requirements.
* Air conditioning units are typically delivered same-day, as to meet customer expectations and uphold company visibility as an on-demand platform.
2.3 Delivery Address and Access
You are responsible for ensuring that:
* The delivery address is accurate and complete;
* Access instructions (e.g. apartment numbers, intercoms, security gates) are correct; and
* Someone is available to receive the order where required.
We are not responsible for delays or failed deliveries caused by incorrect or incomplete information.

- Fees and Payments
3.1 Fees Displayed Upfront
Delivery fees, service fees, and any applicable surcharges are displayed before order confirmation.
3.2 Variable Pricing
Fees may vary based on distance, demand, time of day, order size, weather conditions, or other operational factors.
3.3 Non-Refundable Fees
Delivery and service fees are generally non-refundable once a delivery has commenced, except where required by Australian law.

- Order Accuracy, Missing or Damaged Items
4.1 Merchant Responsibilities
Merchants are responsible for:
* Order accuracy;
* Product quality and fitness for purpose;
* Correct packing and sealing of goods.
4.2 Delivery Partner Responsibilities
Delivery Partners are responsible for taking reasonable care of goods while in transit.
4.3 Reporting Issues
You must report any missing, incorrect, or damaged items via the Platform within 24 hours of delivery.
4.4 Resolution Process
We may, at our discretion:
* Facilitate communication between you and the Merchant;
* Issue credits, refunds, or partial refunds; or
* Decline claims submitted outside the required timeframe.

- Cancellations
5.1 Customer Cancellations
Orders may only be cancelled prior to preparation or dispatch, subject to Merchant acceptance.
5.2 Operational Cancellations
Orders may be cancelled due to item unavailability, safety concerns, or operational issues. Where applicable, refunds will be processed in accordance with our refund policy and Australian Consumer Law.

- Insurance
6.1 Delivery Partner Insurance
Delivery Partners may be required to hold appropriate insurance, which may include:
* Public liability insurance; and/or
* Vehicle insurance (where motor vehicles are used).
6.2 Customer Insurance Coverage
Unless expressly stated otherwise, TradeRun does not provide insurance coverage for Customers’ goods once they have been delivered.
6.3 Limited Coverage
Any insurance maintained by us or Delivery Partners:
* Is subject to policy terms, conditions, exclusions, and excesses; and
* Does not guarantee compensation for loss, damage, or delay.
6.4 High-Value Items
Customers are responsible for ensuring that items of high value are suitable for delivery via the Platform. We do not accept responsibility for loss or damage beyond the limits required by law.

- Limitation of Liability
7.1 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you may have under the Australian Consumer Law (ACL).
7.2 Exclusion of Certain Losses
To the maximum extent permitted by law, we are not liable for:
* Indirect, incidental, or consequential loss;
* Loss of profit, opportunity, or enjoyment;
* Acts or omissions of Merchants or Delivery Partners.
7.3 Liability Cap
Where permitted by law, our total liability in connection with any delivery is limited to the delivery and service fees paid for that order.

- Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, extreme weather, industrial action, pandemics, system outages, or government actions.

- User Conduct
You must not:
* Provide false or misleading information;
* Abuse, harass, or threaten Merchants, Delivery Partners, or support staff;
* Use the Platform for unlawful purposes.
We may suspend or terminate access to the Platform for breaches of these Terms.

- Privacy
We may collect, use, and disclose personal information in accordance with the Privacy Act 1988 (Cth) and our TradeRun Privacy Policy.

- Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

- Governing Law
These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of the courts of the State or Territory in which you reside.
